Terms & Conditions

  1. Consultation Services: a. The Consultancy Firm offers professional M&A consultation services, providing strategic advice, insights, and recommendations to clients. b. Consultations are conducted by experienced consultants and are tailored to the specific needs and objectives of each Client. c. The Consultancy Firm strives to deliver high-quality services, utilizing industry expertise and best practices.

  2. Confidentiality: a. Both the Consultancy Firm and the Client agree to maintain strict confidentiality regarding any confidential or proprietary information disclosed during consultations. b. The Consultancy Firm will exercise reasonable care to protect the confidentiality of Client information, but cannot guarantee absolute security.

  3. Ownership of Work: a. The Consultancy Firm retains ownership of any reports, recommendations, and other deliverables provided during consultations. b. The Client is granted a non-exclusive, non-transferable license to use the deliverables for internal purposes only, without the right to distribute, reproduce, or disclose them to third parties without prior written consent.

  4. Client Responsibilities: a. The Client agrees to provide accurate and complete information relevant to the consultation services, ensuring the Consultancy Firm has the necessary data to deliver effective advice. b. The Client acknowledges that the Consultancy Firm's recommendations are based on the information provided and that inaccurate or incomplete information may impact the advice given.

  5. Consultation Fees and Payment: a. The Consultancy Firm's consultation services are subject to fees as agreed upon between the Consultancy Firm and the Client. b. Payment terms, including invoicing and accepted payment methods, will be communicated to the Client. c. Failure to make timely payments may result in the suspension or termination of services.

  6. Limitation of Liability: a. The Consultancy Firm's liability for any claims, damages, or losses arising from the consultation services is limited to the fees paid by the Client for those specific services. b. The Consultancy Firm shall not be liable for any indirect, consequential, or incidental damages or losses incurred by the Client.

  7. Termination: a. Either party may terminate the consultation services upon written notice, specifying the reasons for termination. b. In the event of termination, the Client shall pay for any completed services rendered up to the termination date.

  8. Amendments: a. The Consultancy Firm reserves the right to modify or update these Terms and Conditions at any time, without prior notice. b. Continued use of the Consultancy Firm's services after such modifications constitutes acceptance of the updated Terms and Conditions.

  9. Governing Law and Jurisdiction: a. This Agreement shall be governed by and construed in accordance with the laws of Ireland. b. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Ireland.
